Mr. Herrick has over fifteen years of corporate law experience serving as in-house and outside counsel to startup, growing and leading technology companies. His experience spans the tech industry and IP law spectrum, including:

Providing ongoing legal counsel to a global information technology and communications systems company.
Representing a global automotive and software company in connection with a number of large-scale software development projects.
Representing a research and development company in negotiations over cross-border collaborative research and licensing agreements with various world-renowned universities.
Representing a nationwide managed review and legal staffing company in connection with the sale of its intellectual property and other assets to a global acquirer.
Providing legal counsel to an in-space manufacturing and space resource extraction technology company co-founded by prominent NASA, MIT and University of Houston scientists.
Representing a medical device company in joint-venture negotiations with major multinational pharmaceutical and medical device companies.
Representing a medical device company in front of the USPTO to secure the company’s patent protection.
Providing ongoing legal counsel to an online social media company.

Mr. Herrick has also represented multiple software development companies and software developers. In addition, while working as an associate at a large New York City firm, Mr. Herrick provided legal representation to a group of private equity funds in their “credit bid” acquisition of a popular fine china maker, and a major hedge fund during the fund’s liquidation and transfer of $2 billion in assets to a private equity fund.

Mr. Herrick has almost five years of computer programming experience and in-depth knowledge of online security. Recently, he prepared expert testimony used in an international arbitration proceeding involving contractual breaches and intentional misconduct by a software developer and system administration that resulted in a significant arbitration award.

Mr. Kokalj has over ten years of corporate law experience working as an advisor and counsel for startup and growing companies and as an associate in a large New York City law firm.

His wide-ranging corporate law experience includes:

representing an online social media company, an online platform for food service companies, and a virtual reality development platform company in matters ranging from establishing IP protection protocols, drafting website agreements and policies, drafting nondisclosure agreements, and designing equity structures
preparing and amending operating agreements, by-laws, and other governance documents for several growing companies
analyzing trade and service mark potential and securing marks
drafting, reviewing, and negotiating vendor and independent contractor agreements for online and brick and mortar businesses

In his role as an advisor at an angel investment firm, Mr. Kokalj has also helped evaluate growing companies' global market opportunities as well as potential legal and IP pitfalls.

Mr. Kokalj's work at a large New York City firm included providing legal counsel in connection with the purchase and later sale of a multi-billion dollar manufacturing company by a private equity fund, a private equity fund's investment into an international logistics company, and the acquisition of a large media company's assets by a syndicate of creditors, and advising a large nonprofit representing technology companies on corporate governance matters.
